This document (“Agreement”) governs your access to and participation in all educational, coaching, webinar, and informational services provided by Educise P.C. (“Company,” “Educise,” “we,” “us,” or “our”), operated by Dr. Theresa A. Schmidt, PT, DPT, MS, OCS, LMT, CEAS, Chy,DD (“Program Leader”). By accessing the website, purchasing any product or service, registering for a course or webinar, or participating in any Program, you (“Participant,” “you,” or “your”) agree to be bound by this Agreement. This applies equally to professionals (including healthcare, wellness, fitness, and other practitioners) and members of the general public.

The services, materials, webinars, online courses, live events, coaching, and information provided through Educise PC (the “Program”) are for educational, informational, and personal or professional development purposes only. Program content focuses on general wellness, physical education, movement strategies, orthopedic rehabilitation, manual therapy technique education, fitness, stress management, posture, mobility, and related topics drawn from current evidence and clinical experience. It is not customized to treat, diagnose, cure, or prevent any physical or mental health condition for any individual.

The Program Leader is a licensed Physical Therapist and Massage Therapist in the State of New Hampshire. However, all Programs operate strictly as peer-to-peer or instructor-led educational coaching and informational services offered across state lines (and internationally). They do not constitute the practice of physical therapy, medicine, massage therapy, or any other licensed healthcare profession in any jurisdiction. Your participation does not create a therapist-patient, doctor-patient, clinician-client, or any other professional-clinical relationship. If you require medical attention, diagnosis, rehabilitation, or treatment, you must seek care from a licensed provider in your local geographic area.

The Program does not provide legal, medical, financial, career, or any other professional advice. Interactions, including group discussions, Q&A, shared experiences among professionals or public participants, or one-on-one coaching comments, do not establish any professional-client relationship, partnership, or privileged communication. Participants (whether professionals or members of the public) remain solely responsible for their own decisions, professional practice, and well-being.

Programs may include physical components such as breathwork, posture and ergonomic practices, mindful or somatic movement, exercise demonstrations, or technique demonstrations and/or practice. You acknowledge that all physical and mental activities carry inherent risk of injury, discomfort, or distress. By joining any Program, you certify that you are physically and mentally capable of participating (or will modify/stop as needed), assume full responsibility for your well-being, and voluntarily assume all risks. You agree to release and hold harmless Educise P.C., Dr. Theresa A. Schmidt, and their agents from any and all liability arising from your participation.

Individual results vary based on personal health, effort, environment, and other factors. Educise makes no guarantees, warranties, or representations regarding specific health, wellness, mobility, pain reduction, professional performance, or other outcomes. Testimonials or examples are not indicative of typical or guaranteed results.

Educise P.C. and Dr. Theresa A. Schmidt retain exclusive ownership of all videos, workbooks, frameworks, worksheets, audio, slides, techniques, assessments, and trade secrets (“Program Content”). All rights reserved.

You receive a limited, non-exclusive, non-transferable, revocable license to use Program Content solely for your own individual, personal, or internal professional non-commercial use.

You may not copy, record, share, download (beyond permitted access), modify, create derivative works, republish, sell, or commercially exploit any Program Content. Professionals and public participants are prohibited from using the frameworks, techniques, or materials to train their own staff, clients, students, or third parties for commercial gain without a separate written licensing agreement from Educise.

Unauthorized screenshots, screen-recording, audio-capturing, or use of AI note-takers/transcription bots (including but not limited to Otter.ai, Read.ai, Fathom, Fireflies.ai, Zoom AI Companion, or Microsoft Copilot) of live sessions, webinars, coaching calls, or chat is strictly prohibited. Violation results in immediate expulsion without refund and potential liability for damages.

What is shared in any Program group, chat, webinar, or coaching session stays confidential within that space.

Confidential information includes any text, identity, personal story, professional struggle, health detail, or other information shared by participants (professionals or public).

This is a peer educational/wellness space. It does not carry any professional privilege (attorney-client, doctor-patient, or otherwise).

• Anonymize or generalize any identifying professional or personal details.
• Do not forward screenshots, copy text, or share content from chats or sessions externally (email, social media, etc.).
• Join live video from a private space or use headphones to protect others’ confidentiality.
• The same rules apply in breakout rooms or smaller groups.

Educise reserves the right to remove any participant who violates these guidelines, with no refund. Unauthorized disclosure may result in additional remedies.

Platform-Specific Notes (Zoom, Teams, GoHighLevel, etc.)

• AI tools and bots are banned from joining or recording.
• Shared files are for personal use only and may not be re-uploaded or forwarded.
• Hosts may retain chat logs internally for administration but will not distribute them externally.

Participant acknowledges the Program requires a private environment.

• “AI Note-Taker” includes any automated software, bot, or plug-in that records, summarizes, or transcribes (examples: Otter.ai, Read.ai, Fathom, etc.).
• Absolute prohibition on using or permitting any such tools.
• Educise may deny entry or eject any bot/AI account.
• Breach = immediate termination, forfeiture of fees, and potential IP liability.

Participant acknowledges Programs may involve educational demonstrations of movement, breathing, posture, or light physical techniques (“Wellness/Educational Activities”).

• These are strictly educational/coaching and do not constitute physical therapy treatment, clinical care, diagnosis, or prescription (even though the Program Leader is a licensed PT and massage therapist in New Hampshire).
• Participation is voluntary. Participant assumes all known and unknown risks.
• Participant represents they are in sufficient health to participate and will consult their own local licensed healthcare provider as needed.
• To the maximum extent permitted by law, Participant releases Educise P.C., Dr. Theresa A. Schmidt, and agents from all claims arising from participation, including those related to negligence.

• The Program Leader is a licensed physical therapist and massage therapist in New Hampshire under NH RSA Chapter 328-A.
• While NH law includes promotion of health, wellness, and fitness within physical therapy, Participant agrees these Programs are strictly non-clinical, non-medical educational coaching.
• No initial evaluation, treatment plan, diagnostic testing, or clinical documentation will be provided.
• The Physical Therapy Licensure Compact is not being used. These services do not constitute physical therapy practice in any other jurisdiction.
• The Massage Therapy Licensure Compact is not being used. These services do not constitute massage therapy practice in any other jurisdiction.
• Disputes fall outside the jurisdiction of the New Hampshire Office of Professional Licensure and Certification for clinical matters.

Educise P.C. owns all Program Content. Participant receives only a limited personal/non-commercial license. Commercial use, training of others, or redistribution is prohibited without a separate licensing agreement. Trademarks and program names remain the exclusive property of Educise.

This Agreement is governed by the laws of the State of New Hampshire (without regard to conflict-of-law principles). Any dispute shall be filed exclusively in the state or federal courts located in New Hampshire. Venue for state actions is the Merrimack County Superior Court. Venue for federal actions is the United States District Court for the District of New Hampshire (Concord). Participant irrevocably consents to personal jurisdiction in New Hampshire and waives objections based on inconvenient forum.
